PARKER SHAFFIE LLP’s attorneys have extensive experience counseling clients on matters involving corporate finance, mergers and acquisitions, strategic planning, asset management, business transactions, venture capital, IPOs and other public offerings, private equity, corporate joint ventures, SEC compliance and reporting and additional complex corporate issues.

We have broad expertise in international legal matters including cross-border investments and mergers and acquisitions. We advise clients on how to work within foreign business environments with their disparate legal tax and litigation regimes and corporate structures.

Our attorneys provide general business counseling, handle negotiations with and offer advice to firms, boards of directors, including special committees, senior management, investor groups, start-ups and government regulators. Issues include management of complex litigation, discharge of fiduciary obligations, corporate governance, protection of intellectual property, technology licensing, antitrust, governmental investigations including management transitions, restructuring, downsizing and related issues.

Our firm represents banks, other financial institutions and borrowers in a variety of financing transactions including those involving secured and unsecured loans, revolving credit facilities, letters of credit, leveraged buy-outs, equity participations, senior and subordinated debt positions and related transactions.

We have wide-ranging experience in forming, capitalizing operating and selling limited liability, corporate, partnership and professional entities. In this regard, we routinely advise middle market entities in the advertising, insurance, construction, restaurant, manufacturing, distribution, brokerage and service sectors on day-to-day issues. We also have extensive experience in advising clients on organizing and structuring private investment funds (including real estate, venture capital, private equity and hedge funds) and publicly traded investment vehicles such as REITS, master limited partnerships (MLPs), mutual funds and other investment companies.

Among our clients is the advertising agency of record for a foreign car manufacturer, a dozen production companies, contractors and restaurants involved in local and national business enterprises. We have particular expertise in assisting businesses seeking to work with city, county or state governments.

The firm is also well known for its expertise in dealing with non-profit (particularly religious) governance issues. We provide client assistance in the full range of business transactions from confidentiality and vendor agreements to the sale and acquisition of complex multi-jurisdictional entities.
